By booking the VIP experience, you ("Client") agree to retain Infinity Brand Design ("Service Provider") to proceed with services, packaged under the Legacy Brand Experience™ ("VIP Experience"), and agree to the terms and conditions as set forth in this Agreement.
1. Scope of Work
During this VIP experience, Service Provider agrees to devote time to project(s) within the 24-hour turnaround time, according to the number of days booked. Service Provider also agrees to devote 2 hours for post-VIP experience revisions and 30 days of post-experience email support. Work will be performed at the offices of Service Provider. Work priority and scheduling will be at the discretion of Client. Work will normally occur between the hours of 11a - 6p CST on weekdays with a 24-hour turnaround time.
The scope of each VIP experience day is determined collaboratively before the start of the session. While the Service Provider will do everything possible to address all priorities within the allotted time, not all tasks may be completed if the scope exceeds the available hours. Clear expectations and prioritization will be established in the onboarding questionnaire and during any pre-design calls.
All content and final payment are due at 5pm CST, 7 days before the VIP Experience start date. If not submitted by this deadline, the VIP Experience will be rescheduled and must take place within 90 days of the original payment date. This 90-day period begins on the date of the initial payment regardless of the selected VIP Experience start date.
2. Communication & Feedback
Clear, timely communication is essential for a successful collaboration. Client agrees to provide concise, actionable feedback when requested, including specific directions and preferences. If the Client does not respond to questions, provide feedback, or clarify requests in a timely manner, Service Provider cannot guarantee satisfaction with the final deliverables. Dissatisfaction resulting from a lack of feedback or failure to respond to direct questions will not qualify for a refund or additional revisions.
3. Client Responsibilities
Client agrees to:
• Provide all required content (e.g., copy, images, brand assets) by the stated due date
• Ensure all deliverables required to begin (including any outstanding payment) are submitted no later than 7 days before the scheduled VIP Experience
• Respond to communication within 1 business day during the VIP Experience
• Ensure decision-makers are available during the project window
Failure to meet these responsibilities may result in rescheduling, delays, or additional fees.
4. Support
During the 30 days of post-VIP experience support, the Client will be able to email Service Provider with any questions about the work that was performed during the VIP experience and will receive a reply via email or video tutorials. This support period does not include additional design or website work that exceeds what was done during the VIP experience. If the Client has additional work that needs to be performed, Client will have the option to book another day or a half-day VIP experience.
5. Payment
Payment for these services will be to the Service Provider at the rate of $777/day and will be due at the time of booking this appointment. Client may choose to alternatively pay a 50% deposit, and pay the remaining balance within 7 days of the scheduled VIP experience date.
Services in addition to the VIP experience will be made available by Service Provider at the current daily or half-day rate, and will be billed separately. Any expenses exclusive of normal overhead are not included in this agreement and will be billed separately. Examples of such expenses are: stock images, premium font licenses, and 3rd party application services.
6. Ownership and Rights
The results of any and all work performed by Service Provider for Client, including original creative work, will remain the property of the Client. Client may use this material in any way deemed appropriate.
Client understands that any written statements, images, audio recordings or video recordings of Client while participating in the VIP experience and made on behalf of the Service Provider may be used in connection with publicizing and promoting the Service Provider. Client authorizes the Service Provider to use their name, brief biographical information, and the written or recorded statements.
Upon final payment, Client will have full ownership of the final designs delivered during the VIP experience. Infinity Brand Design retains the right to display completed projects in portfolios, social media, and marketing materials. Client agrees to include a website credit in the website footer for a minimum timeframe of one year from project completion. Site credit will link to a collaborative page hosted on Client website showcasing the collaboration, unless otherwise agreed upon in writing.
Client understands and agrees that the website created as part of the VIP Experience may, at the discretion of the Service Provider, be repurposed and used as a website template to be sold or otherwise offered in the Infinity Brand Design Shop. Any such template will not include the Client's branding, photos, or copy, and all identifying elements unique to the Client will be removed. This clause does not affect the Client’s ownership or usage rights of their website as outlined in this Agreement.
7. Refunds and Cancellation
This purchase is non-refundable, but may be transferred to another available date or service within 90 days of the original payment date, with 7-days prior written notice. This 90-day period begins on the date of the initial payment regardless of the selected VIP Experience start date. This 90-day window applies whether the Client paid in full or made a deposit. If the VIP Experience is not used within 90 days of the original payment date, the entire payment, whether deposit or full, is forfeited. Once the VIP experience is completed, no refunds will be issued. Booking the VIP experience reserves the Service Provider’s time exclusively for your project, and the work is considered final after the session concludes.
Failure to show up for a scheduled day without prior notice will result in a forfeiture of the booked day, with no refunds provided.
In the event the VIP Experience fails to occur within 90 days, or the Client fails to request a new date at least 7 days before the originally scheduled Experience day, or the Client fails to pay the remaining balance (if applicable), or the Client fails to provide all finalized content required to perform the VIP Experience, the initial payment and/or deposit will be forfeited, and the VIP Experience will be terminated.
If the Client wishes to reschedule beyond 90 days, the original payment may, at the Service Provider’s discretion, be applied to a new booking at the current VIP Experience rate, which may or may not be higher than the original booking rate.
8. Non-Payment
In the unlikely event that any of Service Provider's invoices are not paid on time, Service Provider may charge a late fee, as stated on the invoice, or, if no terms are stated, amounting to 2% of the amount owing for every thirty (30) days (or part thereof) that it remains unpaid.
Service Provider also may choose to cancel the project immediately, suspend work till payment is received (including stopping ongoing work, removing unpaid material, and taking down the website), and/or take legal action to recover fees and any attorney’s charges for doing so.
9. Search Engine Optimization
Although Service Provider works to optimize SEO when setting up the site, Service Provider does not perform keyword strategy and cannot guarantee improvements to Client's website search engine rankings.
10. Accessibility
Although Service Provider endeavors to make a website accessible to as many people as possible, due to many factors related to software, other users, etc., Service Provider cannot guarantee that the work will meet all WCAG standards and is not liable for accessibility legal issues.
11. Independent Contractor
It is understood and agreed that Service Provider is acting as an independent contractor in the performance of the services hereunder, and nothing herein contained shall be deemed to create an agency relationship between Service Provider and Client.
12. Governing Law
The laws of Texas govern all matters arising out of or relating to this Agreement, including torts.
13. Dispute Resolution
Any dispute arising under or related in any way to this Agreement that exceeds the small claims court limit shall be resolved through binding arbitration in the county where the Service Provider resides, in accordance with the rules of the American Arbitration Association. The arbitrator’s decision shall be final and binding. Either party may enter judgment upon the award in any court of competent jurisdiction.
14. Limit of Claim
If Client wishes to pursue legal action or initiate binding arbitration arising out of or related to this Agreement, the claim must be filed within 6 months of the final delivery of services by the Service Provider. Claims initiated after this period will be considered time-barred.
15. Maximum Damages
Client agrees that the maximum amount of damages they are entitled to in any claim relating to this Agreement or Services provided in this Agreement shall not exceed the total cost of Services paid to the Service Provider.
16. Legal Policies & Disclaimers
Service Provider is not an attorney and does not provide legal advice. It is the Client’s sole responsibility to ensure that their website contains legally required notices, including but not limited to privacy policies, disclaimers, accessibility statements, terms of use, and any other required disclosures based on their industry, audience, or business location. Service Provider is not liable for any legal claims, accessibility complaints, or damages resulting from the absence, inaccuracy, or implementation of such policies on the Client’s website.
17. Force Majeure
Service Provider shall not be held liable for any failure to perform or delay in performance due to circumstances beyond their control, including but not limited to acts of God, illness, internet outages, software failures, or governmental restrictions.
By booking a VIP experience (or any related retainer package), Client acknowledges and agrees to these terms.
